SHRINKWRAP LICENSE FOR DOWNLOADED RETROVUE PRODUCT

VisiComp, Inc., licenses the software you are about to download to your computer only upon the condition that you accept all of the terms contained in the license agreement. Please read the terms carefully before downloading this software as downloading the software will indicate your agreement with and acceptance of these terms. If you do not agree to these terms, then VisiComp, Inc., is unwilling to allow you to download this software, in which event you should cease with the download process and request a full refund of any sums paid by you for this software.

LICENSE AND WARRANTY

I. LICENSE

The VisiComp software you are about to download (RetroVue) is the property of VisiComp, Inc., and is protected by copyright law and pending patent. While VisiComp, Inc., continues to own RetroVue, you will have certain rights to use RetroVue after your acceptance of this license. Except as may be modified by a license addendum which accompanies this license, your rights and obligations with respect to the use of RetroVue are as follows:

1. You may use the number of copies of RetroVue as have been purchased by you.

2. You may make one copy of RetroVue for archival purposes, or copy RetroVue onto the hard disk of your computer and retain the original for archival purposes.

3. You may use RetroVue on a network, provided that you have a licensed copy of VisiVue for each computer that has access to VisiVue over the network.

4. You may print out a written copy of the documentation which accompanies each copy of software which you have purchased.

4. You may, after giving written notice to VisiComp, Inc., transfer the software on a permanent basis to another person or entity, provided that you retain no copies of RetroVue and the transferee agrees in writing to the terms of this agreement.

5. You may not:

A. Copy the printed documentation which accompanies the software.

B. Sublicense, rent or lease any portion of RetroVue.

C. Reverse engineer, decompile, disassemble, modify, translate, make any attempt to discover the source code of RetroVue, or create derivative works from RetroVue.

D. Use a later version of RetroVue than is provided unless you have otherwise separately acquired the right to use such later version.

II. LIMITED WARRANTY

VisiComp, Inc., warrants that the process by which the software is downloaded will be free from defect, and that a failure will be remedied by VisiComp, Inc., if notice of any problem is given to VisiComp, Inc. within 30 days of the download date. Your sole remedy in the event of a breach of this warranty is that VisiComp, Inc., will provide for reinstallation of the software or will refund the purchase price in full. VisiComp, Inc., does not warrant that the RetroVue software will meet your specific requirements, that operation of RetroVue will be error-free or uninterrupted. This warranty is exclusive and in lieu of all other warranties, whether express or implied by law.

III. DISCLAIMER OF DAMAGES

Regardless of whether any remedy set forth therein fails, in no event will VisiComp, Inc., be liable to you for any special, consequential, indirect or other damages, including any lost profits or lost data arising out of the use or inability to use RetroVue software, even if VisiComp, Inc., has been advised of the possibility of such damages. In no case shall the liability of VisiComp, Inc., exceed the purchase price of the RetroVue software.
